Terms of Service

1. Parties and Scope

This agreement is entered into between Besa Software, LLC, Wyoming, USA (the "Company"), operator of the BinaYön software platform (the "Platform"), and any natural or legal person who registers for or accesses the Platform (the "User").

The Platform is an international SaaS (Software as a Service) solution designed to help managers of buildings, apartment complexes, and residential complexes digitally manage dues tracking, expense management, resident communication, and related operational processes.

2. Account Creation and Security

  • You must be at least 18 years old or represent a legal entity to create an account.
  • Information provided during registration must be current, accurate, and complete.
  • Only the account holder is responsible for account security; do not share your password.
  • If you detect unauthorized access to your account, notify support@binayon.com immediately.
  • A separate account is recommended for each organization.

3. Subscription and Pricing

BinaYön offers subscription plans for different usage needs:

  • Fees are billed in USD; monthly or annual payment options are available.
  • For annual plans, the refund period is 14 days from the date of purchase.
  • Price changes are notified by email 30 days in advance.
  • If payment is not made, the account is suspended after 15 days and may be deleted after 30 days.
  • Payment transactions are processed by secure third-party processors; card details are not stored by the Company.

4. User Responsibilities

  • The building manager is responsible for the accuracy of resident and property information entered into the platform.
  • It is the manager's responsibility to obtain the necessary consents to process residents' personal data under applicable regulations (GDPR, KVKK, etc.).
  • Notifications and messages sent through the platform must contain accurate and relevant information; spam is prohibited.
  • Automated requests that overload the system (bots, scrapers, etc.) are prohibited.
  • Attempts to gain unauthorized access to other users' accounts are prohibited.

5. Data Ownership

All data entered into the platform (resident information, financial records, building data, etc.) belongs to the user. Besa Software, LLC makes no claim of ownership over this data.

  • You may export your data in CSV / Excel format at any time.
  • A 30-day data download period is provided before an account is deleted.
  • Besa Software, LLC may use only anonymous, aggregated statistical data for service improvement purposes.

6. Service Continuity and Outages

  • BinaYön targets 99.5% monthly service uptime.
  • Scheduled maintenance is announced 48 hours in advance and performed between 02:00–06:00 UTC.
  • Pro and Enterprise plans receive priority technical support.
  • Outages caused by natural disasters, cyberattacks, or infrastructure providers are outside the Company's responsibility.

7. Intellectual Property

The Platform's software, interface, logo, and brand elements belong to Besa Software, LLC and are protected under international copyright law. Users are granted only a limited, non-exclusive, non-transferable license to use the platform within the scope of these terms.

User feedback and suggestions may be used by the Company to improve the platform without any obligation of payment.

8. Limitation of Liability

Besa Software, LLC's total liability is limited to the subscription fees paid by the user in the preceding 12-month period. No liability is accepted for the following:

  • Indirect, special, or consequential damages
  • Data loss resulting from user error or unauthorized access
  • Disruptions caused by third-party integrations
  • Legal or financial consequences arising from incorrect data entered into the platform

9. Prohibited Activities

The Platform may not be used for the following purposes:

  • Illegal activities in any jurisdiction
  • Collecting or sharing personal data without consent
  • Distributing malicious software that could harm other users
  • Attacking the platform infrastructure or performing unauthorized security testing
  • Copying or distributing platform data to develop competing commercial products

Accounts may be suspended without prior notice if a violation is detected.

10. Termination of the Agreement

Cancellation by the User
  • Accounts may be canceled at any time via account settings or by contacting support@binayon.com.
  • The service remains active until the end of the current billing period.
  • Data is retained for 30 days, after which it is permanently deleted.
Termination by the Company
  • Accounts may be terminated with 24 hours' notice for violations of these terms.
  • Accounts are deleted 30 days after non-payment.
  • Complete discontinuation of the service will be announced 60 days in advance.

11. Governing Law and Dispute Resolution

This agreement is governed by the laws of the State of Wyoming and applicable US federal law, excluding conflict-of-law rules.

  • Mediation: In any dispute, the parties must first attempt a good-faith resolution for 30 days following written notice.
  • Binding arbitration: If the dispute cannot be resolved, it shall be submitted to binding arbitration in Wyoming under JAMS or AAA rules. Class action rights are waived.
  • Consumer exceptions: EU and Turkey users do not waive any mandatory rights arising from their own consumer protection laws.

12. Changes

Besa Software, LLC reserves the right to modify these terms. Material changes will be notified to your registered email address at least 30 days before taking effect. Continuing to access the platform after the notification date constitutes acceptance of the changes. In case of conflict between the English original and any translation, the English text shall prevail.
